Agreement to Terms

By accessing or using Circle Care, a service provided by MapleRidge LLC ("MapleRidge," "Circle Care," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Eligibility

You must be at least 13 years of age to use Circle Care. If you are between 13 and 18 years of age, you must have your parent or legal guardian's permission to use the service. By using Circle Care, you represent that you meet these requirements.

Description of Service

Circle Care is a mobile application that helps families coordinate caregiving responsibilities for aging parents. We provide tools for task management, communication, and coordination among family members.

User Accounts

You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate information when creating an account. You agree to notify us immediately of any unauthorized use of your account.

User Content

You retain ownership of any content you submit to Circle Care, including tasks, notes, and other information ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and share your User Content solely to provide and improve our services.

You are solely responsible for your User Content. You represent that you have all necessary rights to submit such content and that it does not violate any third-party rights or applicable laws.

Acceptable Use

You agree not to:

Use the service for any illegal purpose
Share content that is harmful, offensive, or violates others' rights
Attempt to access other users' accounts or data
Interfere with the proper functioning of the service
Reverse engineer, decompile, or attempt to extract source code
Use automated means to access the service without permission
Transmit viruses, malware, or other harmful code

Subscription and Payment

Some features require a paid subscription. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can cancel anytime through your app store settings.

Prices are subject to change with notice. All payments are processed through Apple App Store or Google Play Store, and their respective terms apply.

Refunds

Refund requests are handled by the Apple App Store or Google Play Store in accordance with their policies. We do not directly process refunds. If you believe you are entitled to a refund, please contact the respective app store or reach out to us at legal@circlecare.app for assistance.

Intellectual Property

Circle Care and its content, including but not limited to software, design, text, graphics, and logos, are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

Termination

You may terminate your account at any time by deleting it through the app settings. We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

Upon termination, your right to use the service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

Disclaimer of Warranties

Circle Care is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

Limitation of Liability

To the maximum extent permitted by law, Circle Care and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from your use of the service.

Our total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Circle Care and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of another party.

Medical Disclaimer

Circle Care is not a medical service and does not provide medical advice, diagnosis, or treatment. The app is intended for coordination purposes only. Always consult qualified healthcare professionals for medical advice. Never disregard professional medical advice or delay seeking it because of something you have read or coordinated through Circle Care.

Dispute Resolution

Any dispute arising from these Terms or your use of Circle Care shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved within 30 days, you agree that any legal action shall be brought exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction of such courts.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Circle Care.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, power outages, or internet service failures.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Circle Care regarding your use of the service and supersede any prior agreements.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will also notify you through the app or by email. Your continued use of the service after changes become effective constitutes acceptance of the revised Terms.
